In particular, with regard to ordinary activities, the Firm is involved in drafting and negotiating contracts for the lease of business units or leases, including for shopping centres, in drafting and negotiating hotel management contracts, private contracts – including for the development of hotels and student residences, in managing legal relations with builders and all counterparts with technical expertise, such as engineering and architectural firms, as well as in managing the pre-litigation and litigation phases of relations with tenants, lessees or any third party.

With regard to extraordinary activities, the Firm assists its clients in connection with mergers and acquisitions, both of certain assets and of company shareholdings, and operates in the phases of the study and structuring of the transaction, due diligence, negotiation and drafting of contractual documentation.

Recently, the firm has assisted a private company in the sale to a leading international operator of an area free of buildings, for commercial use, of over 42,000 square meters.

Recent assignments
Recently, the firm has assisted a regulated company in a dispute with a contractor concerning a contract for a building owned by the company.
In addition, the firm obtained a favourable judgment from a Court of First Instance regarding the determination of the dueness of the rents under a lease agreement for a branch of business, even during the closure period imposed by emergency legislation to counter the spread of the 2020 pandemic.

With regard to the protection of personal data, the Firm believes that no corporate consultancy can now be considered complete without paying particular attention to compliance with EU Regulation 679/2016, if only because of the considerable penalties it provides for.
The Firm assists companies, private and non-private, including regulated ones, in the fields of personal data protection, with specific reference to compliance with EU Regulation 679/2016, also through a constant analysis of the rulings of the Italian and European Supervisory Authorities, as well as those of other European countries of primary importance with respect to foreign trade.
The Firm assists its clients not only with the essential adaptation to the new regulations, but also in its punctual compliance and in the constant monitoring of the interpretative evolutions and offers a continuous alert service with respect to the new interpretations that are defined and the consequent actions required from the companies.
It is also currently appointed as the Data Protection Officer (DPO) of several vehicle owners of leading shopping centres located throughout the national territory. For these, he also advises on the conduct of events pursuant to Presidential Decree 430/2001.

Recently, the firm has assisted several companies operating in the retail and entertainment sectors in the organisation of promotional initiatives of a local and regional nature, both on the internet and live, also with reference to relations with the Ministry of Economic Development for those initiatives regulated by Presidential Decree 430/2001.
The Firm assists emerging start-ups in the development, exploitation and acquisition of Information Technology (hardware, software, databases, digital platforms); it takes care of the legal aspects related to the internet – such as e-commerce and the protection and processing of personal data via the internet -, the drafting of B2B contracts, distribution agreements, as well as B2C contracts such as the offer to consumers of goods and services on the internet.
The Firm also assists its clients in the field of information security, with particular attention to the issues of corporate-informatics investigations and analysis.

Recently, the firm has assisted a company operating in the field of information security and prevention of possible frauds, in the preparation for a tender with a primary credit institution of international importance. The work involved drafting both the agreements following the awarding of the contract and the policies of conduct in case of data leaks or other violations.
